Definition

A board pack is the set of documents circulated to directors before a board meeting. It typically includes the agenda, previous minutes, management accounts, a cash forecast, KPI dashboard and papers for each decision, giving the board the information it needs to scrutinise performance and make informed decisions.

What it means

A good board pack tells the board what has happened, why and what management proposes to do about it. It should focus on exceptions and decisions rather than reproducing every operational detail.

Directors have legal duties to exercise reasonable care, skill and diligence, so they rely on accurate, timely papers to discharge them.

How it works in a UK business

Most SME and scale-up boards meet monthly or quarterly. The pack is usually issued several days in advance so directors can read it properly. A typical structure is a short CEO summary, finance section with management accounts and cash, a KPI dashboard, functional updates, risks and specific papers needing approval.

Investor-backed businesses often have a pack format agreed with the investor. A fractional CFO or COO commonly owns its production and ensures the numbers reconcile.

Frequently asked questions

What should be in a board pack?

At minimum: an agenda, previous minutes and actions, management accounts against budget, a cash flow forecast, a KPI dashboard, a risk update and papers for any decision the board must take. The best packs open with a short executive summary that highlights what has changed and what the board needs to decide.

How long should a board pack be?

Long enough to support the decisions, and no longer. Many SME boards work well with 15 to 30 pages plus appendices. Packs that run to hundreds of pages tend to hide the issues that matter. Put detail in appendices and keep the main papers focused on exceptions, trends and decisions.
