Definition

A private equity-backed business is a company in which a private equity firm has bought a significant, often controlling, stake using investor funds and usually some debt. The investor aims to grow the business's value over a set holding period, typically several years, then sell its stake at a profit.

What it means

Private equity investors buy into established businesses they believe can grow faster with capital, sharper management and better governance. The deal often uses borrowed money secured on the business, so cash generation and covenant compliance matter from day one.

Management teams usually reinvest alongside the investor, which aligns everyone around the eventual exit value.

How it works in a UK business

After completion, the investor typically agrees a value creation plan, appoints an investor director to the board and expects a monthly board pack with management accounts, KPIs and a cash forecast. Reporting deadlines tighten and the finance function often needs upgrading quickly.

Many portfolio companies bring in a fractional or interim CFO to meet investor reporting standards, manage lender relationships and prepare for the exit. Leadership Services provides directors for PE-backed businesses from its bench, from £1,795 per month.

Frequently asked questions

What changes after private equity investment?

Expect more formal governance, monthly board meetings, tighter reporting deadlines and a clear value creation plan. Lenders may set covenants that the business must test and report against. The leadership team is usually asked to strengthen finance, build a KPI dashboard and plan for an exit from the start of the investment.

Why do PE-backed businesses use fractional CFOs?

They often need investor-grade reporting, forecasting and covenant management faster than a permanent hire can be recruited. A fractional CFO can upgrade the finance function, work with the investor director and prepare for due diligence at exit, while the business decides whether it needs a full-time CFO.
